Set Up a Company in Saudi Arabia From Abroad (2026 Guide)

You can set up a company in Saudi Arabia from abroad. MISA confirms no visit is required. The foreign company registers online, MISA reviews a complete file within 10 working days, the fee is paid within 15 business days, and the Ministry of Commerce issues the articles and Commercial Registration electronically. Embassy attestation and bank onboarding need a physical step.
What “from abroad” means in 2026
Three government systems carry the whole journey, and each one is designed to be used without visiting a service centre. The MISA licence, now formally called investment registration under the Investment Law in force since February 2025, is filed on the Invest Saudi e-services portal. Your home-country documents are attested through the Ministry of Foreign Affairs ratification service, which runs through Saudi embassies and consulates. The company contract and the Commercial Registration are then issued on the Saudi Business Center platform of the Ministry of Commerce under a service built for exactly this case: establishing a company under an investment licence.
MISA describes this chain as the service for establishing foreign companies electronically from outside the Kingdom, launched in partnership with the Ministry of Foreign Affairs and the Ministry of Commerce. In its published FAQ (updated 24 June 2026) MISA confirms that the application is submitted electronically, that documents for MISA do not need translation, and that the articles of association are authenticated and the Commercial Registration issued electronically after a file is opened on the Ministry of Commerce portal. That is the legal and procedural basis for a fully remote formation. The rest of this guide walks through each stage in the order you will actually meet it, with the SAR figures and processing times published by the authorities.
Who can register from abroad, and who cannot
MISA issues investment registration to legal entities, foreign companies and individuals who hold Premium Residency. A foreign individual without Premium Residency therefore does not register in their own name; the shareholder of the new Saudi company is normally an existing company abroad, which can be your operating company or a holding entity. This is the single most common planning error we see: a founder with no company outside Saudi Arabia expects to register personally and discovers at the document stage that MISA wants a commercial register and audited financial statements of a foreign establishment.
Two groups have an easier route. GCC citizens and companies wholly owned by them are treated as local investors and apply through the Ministry of Commerce rather than MISA, unless foreign investors sit inside the GCC company’s ownership. Premium Residency holders are exempt from submitting the foreign commercial register and the financial statements. If you fall into either group, read our guide on GCC companies expanding to Saudi Arabia before you prepare any documents, because the file is shorter and the portal is different.
Ownership rules also apply from day one. Most activities are open to 100% foreign ownership, with exceptions on MISA’s prohibited or restricted list. Fully foreign-owned trading is a special case with SAR 30 million in capital, a presence in at least three markets and a five-year investment commitment, so trading founders who want to work alone usually need a different structure. Professional activities are registered separately and cannot be combined with non-service activities in the same registration.
Step 1: attest your home-country documents at the Saudi mission
Attestation is the one stage that cannot be skipped and cannot be done from a laptop alone. MISA requires a copy of the foreign company’s commercial register certified by the Saudi embassy, and the financial statements for the last fiscal year authenticated by the Saudi embassy. If the applying company is owned by a parent of a different nationality, a certified copy of the parent’s registration is also required. Partners from two different countries each attest in their own country, provided the service is available at the Saudi mission there.
The request is filed on the Ministry of Foreign Affairs portal at mofa.gov.sa under e-services, service type “ratification of documents”, request type “ratify the establishment contract”. The applicant uploads the establishment contract, the commercial register, the financial statements and the power of attorney, confirms the data pledge, pays electronically through Sadad or Enjaz, and then presents the originals at the mission. Fees follow the mission’s schedule, so confirm the exact amount on the MOFA portal for your country before you budget.
Three practical points save weeks here. First, start attestation before you touch the MISA portal, because the MISA application cannot be completed without the attested documents and attestation queues vary by country. Second, check that the financial statements are for the last closed fiscal year and are audited where your home jurisdiction requires it; a management account is routinely rejected. Third, keep the attested PDFs under the portal size limits and in colour, since the Saudi authorities verify the mission stamp visually. Our detailed checklist of what each document must show is in MISA licence requirements and documents.
Step 2: register with MISA on the Invest Saudi portal
Registration starts with an account on the Invest Saudi e-services portal, where you select the investor role, enter the company and contact details and create login credentials. MISA notes that each company must have its own email address in the system, so do not reuse an address already linked to another registered entity. Inside the account, the application captures the entity information, the chosen ISIC activities, the shareholders and the contact person.
Shareholder identities are verified in two ways. Saudi, Iqama, Premium Residency and GCC holders are verified through the National Information Center using the data registered in Absher, so no identity copy is attached. A foreign individual attaches a passport copy. If a person acts for the investor, the power of attorney must be authenticated by the Saudi embassy unless the authentication was completed electronically, and the attorney must be registered in Absher for identity verification. Foreign corporate shareholders enter the authentication number issued by the Ministry of Foreign Affairs and attach the commercial register and financial statements; Saudi corporate shareholders are verified by their CR number through the Ministry of Commerce link.
MISA runs two tracks, available activities and restricted activities, and publishes a processing time of 10 working days for a complete file. The registration fee is determined by the ministry when it approves the application and must be paid within 15 business days of the notification, otherwise the registration is treated as void. The registration certificate is issued in Arabic; you may translate it through an accredited translation office, but the Arabic certificate is the legal document. Registration also carries an annual update with a published 5-working-day processing time, which replaced the old renewal under the Investment Law.
One useful feature for remote founders: MISA confirms that you may obtain the investment registration on its own and complete the articles of association and Commercial Registration later. This lets you lock in the registration while the rest of the file, such as a lease or a bank introduction, is still moving.
Step 3: articles of association and Commercial Registration online
The Ministry of Commerce service “establishing a company under an investment licence” is delivered through the Saudi Business Center and, in the ministry’s own words, lets beneficiaries start commercial activity and apply for the foreign company’s articles of association without the need to visit service centres. The service page is on mc.gov.sa and the portal is business.sa. Registration on the Ministry of Commerce portal is completed through the establishment’s contact officer registered with MISA, so the person you named at MISA is the person who signs in here.
The conditions published by the Ministry of Commerce matter for timing. The investment certificate must be valid for at least 30 more days. Partners must be at least 18 and must not be government employees. A corporate partner’s own commercial register must not be struck off or suspended. Activities supervised by the Saudi Central Bank (SAMA) need its licence first. Professional companies need valid professional licences, a licensed Saudi partner holding at least 25% and licensed partners holding at least 70%.
The flow is: choose the number of partners and the company form, enter the registration period, head office and purposes, add partner data, Commercial Registration data, company and management data and the contract data, then review the summary. The platform sends verification messages to the partners to authenticate the contract; where a partner cannot approve electronically, authentication is completed manually. Once all partners approve, a Sadad invoice is issued; after payment the articles of association are issued, the Commercial Registration is issued and the contract is published electronically. For limited liability companies the Ministry of Commerce lists this as immediate.
Under the Commercial Register Law in force since 3 April 2025 you receive one national Commercial Registration with a unified number starting with 7. It has no expiry date, but it must be confirmed every 12 months, is suspended if not confirmed within 90 days of the due date, and is struck off after one year of suspension. Trade names may be in Arabic or English and may contain letters and numbers. Our stage-by-stage view of how the pieces fit together is in company formation timeline in Saudi Arabia.
Government costs you can plan for
The figures below are the published Ministry of Commerce fees plus the MISA position on its own fee. Attestation fees are set by each Saudi mission and are therefore shown without an amount. Chamber of Commerce subscription is free for the first three years after CR registration and then SAR 200 to 5,000 a year by class.
| Item | Amount (SAR) | Authority / basis |
|---|---|---|
| Trade name reservation | 200 (Arabic) or 500 (English) | Ministry of Commerce e-service fees |
| Commercial Registration, LLC | 1,200 + 500 publication + 15% VAT | Ministry of Commerce FAQ and e-service fees |
| Commercial Registration, partnership | 1,000 + 500 publication + 15% VAT | Ministry of Commerce FAQ |
| Commercial Registration, JSC or simplified JSC | 1,600 + 500 publication + 15% VAT | Ministry of Commerce e-service fees |
| MISA investment registration fee | Set by MISA on approval; payable within 15 business days | Investor Guide 13th edition, 2026 |
| Document attestation at the Saudi mission | Per the mission’s schedule, paid via Sadad or Enjaz | Ministry of Foreign Affairs ratification service |
| Chamber of Commerce subscription | 0 for the first 3 years, then 200 to 5,000 a year | Chambers Law implementing regulation |
| Annual CR confirmation, LLC | 1,200 | Ministry of Commerce e-service fees |
Two cost lines are easy to underestimate from abroad. Courier and notary costs for originals, and the cost of a registered address in Saudi Arabia, which the Commercial Registration requires and which must appear in the National Address records. We help clients weigh a serviced office against a conventional lease in the first year, since the choice also affects the municipal licence you will need for a physical premises.
A realistic timeline when you are not in the Kingdom
Published processing times are short. The lived timeline is driven by attestation and by how quickly partners respond to verification messages. The table combines the official times with the planning figures we use; the planning figures are our estimates, not official service levels.
| Stage | Published time | Planning figure |
|---|---|---|
| Attestation of CR and financial statements at the Saudi mission | Not published; varies by mission | 1 to 3 weeks, longer if an apostille or local notary step is needed first |
| MISA review of a complete application | 10 working days | 2 weeks, plus any time you take to answer a query |
| MISA fee payment window | 15 business days from notification | Pay in the first week so the MoC step is not delayed |
| Articles and CR on the Saudi Business Center | Immediate after partner approval and payment | 2 to 5 days in practice, driven by partner sign-off |
| MISA annual update, later | 5 working days | Diarise it 30 days before the anniversary |
Put together, a founder whose documents are ready can plan on four to seven weeks from the first attestation appointment to a Commercial Registration in hand, without a flight. Founders who start the attestation late or who run partner approvals by email across several time zones typically add a month.
Who signs what: the power of attorney question
Remote formation works because the Saudi system verifies identities through Absher and the National Information Center and accepts authenticated powers of attorney for everything else. For the MISA application, the investor can act personally or appoint an attorney; an attorney who is used for identity verification must be registered in Absher, and the power of attorney must be authenticated by the Saudi embassy unless it was authenticated electronically. For the Ministry of Commerce stage, the contact officer registered with MISA completes the portal steps, and partners authenticate the contract through verification messages.
Once the Commercial Registration exists, Saudi notarial powers of attorney can be issued electronically through the Ministry of Justice platform Najiz, which is how most remote founders authorise a local manager or a consultancy to act with GOSI, Qiwa, ZATCA and the municipality. Our guide to the electronic power of attorney for foreign founders explains the Najiz route, who can be the agent and how to limit the powers granted.
What still needs a visit, or a resident manager
Three things do not complete fully from abroad in 2026, and planning for them early is what separates a smooth remote setup from a stalled one.
- Bank account opening. Banks apply their own know-your-customer rules under SAMA supervision and most ask the authorised signatory to complete identity checks in person. Plan one trip around account opening and read our guide to opening a corporate bank account in Saudi Arabia to prepare the file before you fly.
- The general manager’s residency. A company that will hire staff needs a general manager with an Iqama to run the establishment files on Qiwa, GOSI and Muqeem. The route is the investor visa or a work visa issued to the appointed manager; see investor visa in Saudi Arabia for cost and eligibility.
- Premises and the municipal licence. Any physical shop, office or warehouse needs a Balady municipal licence, valid 1 to 5 years, with fees calculated on the Balady platform under the Municipal Services Fees Regulation. A serviced office with a valid lease is the usual first-year answer for a remote founder.
None of these stop the company from existing. They decide when it can invoice, hire and trade at full speed, which is why we sequence them in parallel with the MISA and Ministry of Commerce steps rather than after them.
After registration: the obligations that start at once
Registration is the start of a compliance calendar, and the clock runs whether or not you are in the Kingdom. The Commercial Registration must be confirmed every 12 months. The MISA registration carries an annual update. Any change in partners or shares filed with MISA must be mirrored in the partners’ resolution and the Commercial Registration within 30 days, or MISA may restore the previous data. Chamber of Commerce membership is automatic with the CR and free for three years.
On tax, the Zakat, Tax and Customs Authority (ZATCA) requires VAT registration once taxable supplies exceed SAR 375,000 in 12 months, and e-invoicing obligations follow registration. Foreign-owned companies file corporate income tax rather than zakat on the foreign share. On labour, opening the GOSI and Qiwa establishment files comes before the first hire, and the Saudization range you land in depends on the activity and headcount. We cover the recurring picture in annual running costs of a company in Saudi Arabia.
Common mistakes to avoid
- Applying to MISA as a foreign individual without Premium Residency, then discovering that a foreign company must be the shareholder.
- Starting attestation after the MISA application instead of before it, which adds the full embassy queue to the timeline.
- Uploading management accounts instead of the last fiscal year’s financial statements, which MISA rejects.
- Letting the investment certificate run below 30 days of validity before filing the articles at the Ministry of Commerce.
- Reusing an email address that is already linked to another company in the MISA system.
- Choosing a trading activity for a 100% foreign-owned company without the SAR 30 million capital and three-market presence, then having to restructure.
- Treating the Arabic registration certificate as optional and ordering only a translation.
- Missing the 30-day window to update the Commercial Registration after a MISA ownership change.
- Forgetting that the CR needs annual confirmation within 90 days of its due date even though it no longer has an expiry date.
How Noble Core runs a remote Saudi formation
Noble Core has operated since 2020 with staffed offices in Dubai and Riyadh, and most of the Saudi companies we form are set up for founders who are not in the Kingdom when the file starts. We prepare the attestation pack for your country’s Saudi mission, file the MISA licence application and answer MISA queries, act as the registered contact officer for the Saudi Business Center stage, and sequence the bank, visa and premises steps so your first trip to Riyadh is a signing trip, not a troubleshooting trip. For the full service picture see company formation in Saudi Arabia. We complete the procedures on your behalf; we do not issue visas or approvals, and we do not speed up government timelines beyond filing a complete and correct file the first time.
If you want a written document list for your country and a written quote, message us on WhatsApp: Get the document list and a written quote on WhatsApp. A consultant replies with the attestation steps for your mission, the SAR government fees for your company type and a realistic calendar.

Frequently Asked Questions
Can I set up a company in Saudi Arabia from abroad without visiting?
Yes for the registration itself. MISA states that no visit to its headquarters is required and the investment registration is filed online; the articles of association and Commercial Registration are then issued electronically through the Ministry of Commerce. Document attestation happens at the Saudi mission in your country, and bank account opening usually needs the signatory in person.
Which documents must be attested at the Saudi embassy for MISA registration?
A copy of the foreign company’s commercial register and the financial statements for the last fiscal year, both certified by the Saudi embassy, plus a certified copy of the parent company’s registration if the parent has a different nationality. Powers of attorney are also authenticated at the mission unless authenticated electronically. Premium Residency holders are exempt from the register and financial statements.
How long does MISA take to approve an investment registration?
MISA publishes a processing time of 10 working days for a complete application on either track, available or restricted activities. The registration fee is determined by the ministry on approval and must be paid within 15 business days of notification, otherwise the registration is treated as void. Incomplete files restart the clock when the missing items are supplied.
Can a foreign individual register with MISA without a company abroad?
Generally no. MISA issues investment registration to legal entities, foreign companies and individuals who hold Premium Residency. A foreign individual without Premium Residency normally registers through an existing company abroad, which becomes the shareholder of the Saudi company. Premium Residency holders may register in their own name and are exempt from the commercial register and financial statements.
How much does it cost to register a company in Saudi Arabia from abroad?
Government fees published by the Ministry of Commerce are SAR 200 or 500 for the trade name, SAR 1,200 plus SAR 500 publication plus 15% VAT for an LLC Commercial Registration, and SAR 1,200 for the annual confirmation. The MISA registration fee is set by the ministry on approval. Embassy attestation fees follow each mission’s schedule, and Chamber membership is free for three years.
Do my documents need to be translated into Arabic for MISA?
No. MISA states that documents submitted to the Ministry of Investment do not need to be translated, although other ministries may require translated documents at later stages. The investment registration certificate itself is issued in Arabic only; you may obtain a translation through an accredited translation office, but the Arabic version is the legal document.
Are GCC investors treated as foreign investors when setting up remotely?
No. GCC citizens and companies wholly owned by them receive the same treatment as Saudi citizens and apply through the Ministry of Commerce rather than MISA, unless foreign investors are part of the GCC company’s ownership structure. A UAE company owned by non-GCC expatriates therefore still needs MISA registration before the Commercial Registration can be issued.
What are the Ministry of Commerce conditions for the electronic articles of association?
A valid investment certificate with at least 30 days remaining, partners aged 18 or more who are not government employees, no struck-off or suspended register for corporate partners, and a Saudi Central Bank licence where the activity requires it. Partners approve the contract through verification messages, a Sadad invoice is issued, and after payment the articles and Commercial Registration are issued and published electronically.
